These Terms and Conditions apply to the sale and supply of branded fragrances by Raikar & Co Ltd (“we”, “us”, “our”) to trade customers, wholesalers, and other business buyers (“you”, “your”).
By placing an order with us, you agree to these Terms and Conditions.

2. Definitions
“Goods” means the products we supply to you.
“Contract” means the agreement between you and us for the supply of goods in accordance with these Terms.
“Order” means your order for the goods.
3. Orders
Orders are subject to acceptance by us and availability of goods.
We reserve the right to reject any order without explanation.
A contract is formed only upon our written
confirmation of your order.
4. Pricing and Payment
All prices are exclusive of VAT unless otherwise stated.
Prices are subject to change at any time before acceptance of your order.
Payment terms are strictly [e.g. 30 days from invoice date / Pro forma / your specific terms].
Late payments may incur interest at [e.g. 4% above the Bank of England base rate] per annum.
We reserve the right to withhold or cancel deliveries if payments are overdue.
5. Delivery
Delivery dates are estimates only, and time is not of the essence.
Delivery is deemed complete when the goods are delivered to your nominated address.
Risk in the goods passes to you upon delivery.
Title in the goods does not pass to you until full payment has been received.
6. Returns and Claims
Returns of non-faulty goods are accepted only with our prior written agreement and may be subject to a restocking fee.
Claims for shortages or damages must be notified in writing within 3 days of delivery.
After this period, the goods shall be deemed accepted.
7. Warranty
We warrant that the goods will conform to their description and be free from material defects in workmanship and materials for a period of [e.g. 30 days] from delivery.
This warranty is subject to proper storage and handling of the goods.
All other warranties, whether express or implied by law, are excluded to the fullest extent permitted by law.
8. Limitation of Liability
Our liability for any claim shall not exceed the price of the goods supplied.
We shall not be liable for any indirect or consequential loss (including loss of profit, loss of goodwill, or business interruption).
Nothing in these Terms limits liability for death or personal injury caused by negligence or for fraud.
9. Intellectual Property
All intellectual property rights in images, product photographs, logos, marketing materials, and any other content displayed on our website or provided to you for the purpose of resale or display remain the property of Raikar & Co Ltd or its licensors or brand owners.
You may use such images and materials solely for the purpose of promoting and reselling the goods purchased from us, and only with our written permission. You must not alter, reproduce, distribute, or otherwise use these materials for any other purpose without our prior written consent.
10. Force Majeure
We shall not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including but not limited to strikes, transport failures, pandemics, or extreme weather events.
11. Termination
We may suspend or terminate the contract immediately if:
you become insolvent,
fail to pay amounts due, or
breach these Terms.
12. Governing Law
These Terms and any disputes arising from them are governed by English law, and the courts of England and Wales shall have exclusive jurisdiction.
13. General
If any clause is found invalid or unenforceable, the remainder will still apply.
These Terms override any of your own purchase terms unless expressly agreed in writing by us.
